Internal Audit Organization and Its Implementation

Organization

In accordance with the “Regulations Governing the Establishment of Internal Control Systems by Public Companies” issued by the Financial Supervisory Commission (FSC), the Company has established an internal audit unit that is independent and directly subordinate to the Board of Directors. This unit assists the Board and management in inspecting and reviewing the Company's internal control system to enhance operational performance and implement sound corporate governance.

Staffing

The internal audit unit is headed by a Chief Auditor, who is appointed and dismissed by the Board of Directors. Based on the Company’s scale, business conditions, management needs, and relevant legal requirements, an adequate number of full-time auditors with proper qualifications are appointed. In addition to meeting the FSC’s qualifications, and in accordance with the “Corporate Governance Best- Practice Principles” approved by the Board, the appointment, evaluation, and remuneration of internal audit personnel are proposed by the Chief Auditor and approved by the Chairperson of the Board. Auditors are required to undertake continuing professional education annually and a deputy system is in place to ensure continuity.

Internal Audit Operations

  1. The Company has established the "Evergreen International Storage & Transport Corporation Internal Control System" based on the FSC’s “Regulations Governing the Establishment of Internal Control Systems by Public Companies,” taking into account industry characteristics and actual operational activities. This system has been approved by the Board of Directors.
  2. An annual audit plan is formulated based on risk assessment results and submitted to the Board for approval. The plan is used to inspect and evaluate the implementation of internal controls and to provide timely recommendations for improvement, thereby ensuring the continued effectiveness of the internal control system.
  3. Each year, in accordance with regulations, the Company reviews self-assessment reports from various departments and subsidiaries. These, along with audit findings and improvements made, serve as the basis for evaluating the overall effectiveness of the internal control system and for issuing the “Internal Control System Statements.”
